IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER WHICH AFFECT YOUR LEGAL RIGHTS. PLEASE READ CAREFULLY BEFORE USING THIS SITE OR MAKING A PURCHASE.

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and NH Resource Group LLC doing business as Sproutly ("Sproutly," "we," "us," or "our") governing your access to and use of this website and any related websites, checkout pages, landing pages, advertisements, emails, SMS messages, customer support interactions, packaging inserts, digital content, subscriptions, products, and services offered by or on behalf of Sproutly (collectively, the "Service"). By accessing, browsing, purchasing from, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue use of the Service.

Changes to Terms

NH Resource Group LLC reserves the right to modify, amend, supplement, or replace these Terms at any time in its sole discretion. Changes are effective immediately upon posting. Continued use of the Service after changes constitutes your acceptance of the updated Terms.

Eligibility

The Service is intended solely for individuals who are at least eighteen (18) years of age and legally capable of entering into a binding contract. By using the Service, you represent and warrant that you meet these requirements.

Medical Disclaimer

All information, content, statements, recommendations, and materials provided through the Service are for general informational and educational purposes only and are not intended as medical advice. Sproutly does not provide medical diagnosis, treatment, or healthcare services. Sproutly products are dietary supplements and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Statements have not been evaluated by the United States Food and Drug Administration. You should consult a qualified healthcare professional prior to using any dietary supplement, especially if pregnant, nursing, have a medical condition, or take prescription or non-prescription medications.

International Sales and Compliance

Sproutly products are offered for sale in the United States, the United Kingdom, and Australia. You are solely responsible for compliance with all applicable local laws, import regulations, customs requirements, and labeling standards in your jurisdiction.

No Guarantee of Results

Individual experiences with dietary supplements vary significantly. Sproutly makes no representations, warranties, or guarantees regarding outcomes, benefits, performance, or results. Any reference to results is descriptive only and does not constitute a guarantee. Absence of perceived results does not constitute a defect, failure, or misrepresentation. You expressly acknowledge that you do not rely on marketing language, testimonials, advertisements, or promotional statements as guarantees when making a purchase decision.

Mobile Terms of Service

The Sproutly mobile message service (the "Service") is operated by NH Resource Group ("Sproutly," "we," or "us"). Your use of the Service constitutes your agreement to these terms and conditions ("Mobile Terms"). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time, and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

Eligibility. You must be at least 18 years of age, or the age of majority in your jurisdiction, to participate in the Service. The Service is currently offered only to residents of the United States with a US mobile number.

By consenting to Sproutly's SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Sproutly through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology.

Types of messages. Depending on the program(s) you sign up for, messages may include order and shipping updates, cart or checkout reminders, and promotional messages such as sales, specials, and other marketing offers.

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Sproutly. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt out of the Service at any time. Text the single keyword command STOP to Sproutly or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Sproutly mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received, and we will not be responsible for honoring requests made in such messages.

Carrier disclaimer. Wireless carriers, including but not limited to AT&T, T-Mobile, Verizon, and their affiliates, are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program again with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

Your privacy. We respect your right to privacy. We do not sell or share your mobile number or opt-in status with third parties for their own marketing purposes. To see how we collect and use your personal information, please see our Privacy Notice.

Governing law. These Mobile Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.

Assumption of Risk

By purchasing and using Sproutly products, you voluntarily assume all risks associated with their use. You are solely responsible for determining suitability for your personal needs and accept full responsibility for any consequences arising from use.

Product Formulation and Manufacturing

Sproutly products are manufactured by third-party manufacturers. Label information is accurate to the best of our knowledge at the time of manufacture. Natural ingredients may vary slightly between batches and such variations do not constitute defects, misrepresentation, or grounds for liability.

Third-Party References and No Affiliation

Any references to third-party research studies, clinical trials, academic institutions, publications, journals, researchers, governmental agencies, or medical professionals are provided solely for general informational purposes. Such references do not constitute an endorsement, sponsorship, or affiliation by any such third party. NH Resource Group LLC and Sproutly are not affiliated with any third-party entity referenced.

User Content and Testimonials

Testimonials and reviews represent individual opinions and experiences only and are not a guarantee of similar results. By submitting content, you grant NH Resource Group LLC a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, publish, and distribute such content for lawful purposes including marketing.

Intellectual Property

All content on the Service is owned by or licensed to NH Resource Group LLC and is protected by intellectual property laws. You may not copy, reproduce, distribute, or exploit any portion of the Service without prior written consent.

Goods Not for Resale

You represent and warrant that you are buying products for your own personal or household use only, and not for resale or export.

Orders and Pricing

All orders are subject to acceptance by Sproutly. Prices and availability are subject to change without notice. Sproutly reserves the right to correct errors, cancel orders, limit quantities, or refuse service. Risk of loss and title pass to you upon delivery to the carrier.

Subscriptions and Recurring Billing

By enrolling in a subscription, you expressly authorize recurring charges at the disclosed frequency. To avoid being charged for your next shipment, you must cancel your subscription at least 24 hours before your next billing date. All subscription renewal charges are final and non-refundable once processed. It is your sole responsibility to manage or cancel subscriptions prior to renewal.

Refund Policy

Refund programs including the Sproutly Promise are governed by our Refund Policy incorporated by reference. Refunds are discretionary remedies and not contractual entitlements. Initiating a chargeback, payment dispute, or reversal immediately voids eligibility for refund consideration.

Disclaimer of Warranties

THE SERVICE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NH RESOURCE GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless NH Resource Group LLC, its members, officers, employees, agents, affiliates, and partners from any claims, liabilities, damages, losses, costs, or expenses including attorneys' fees arising out of your use of the Service, violation of these Terms, misuse of products, or violation of applicable law.

Force Majeure

NH Resource Group LLC will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, weather, pandemics, supply chain disruptions, carrier delays, or governmental actions.

Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute arising out of or relating to these Terms, the Service, or any purchase shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules and governed by the Federal Arbitration Act. Arbitration shall take place in New York on an individual basis only. You waive any right to participate in class actions, representative actions, or jury trials.

Statute of Limitations

Any claim must be brought within one (1) year of the event giving rise to the claim or be permanently barred.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York without regard to conflict of law principles.

Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Failure to enforce any right or provision shall not constitute a waiver.
